By accessing and using PromoPilot ("the Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

2. Preview Status & Service Availability

2.1 Preview Application

PromoPilot is currently in preview status. This means:

• The Service may experience interruptions, bugs, or unexpected behavior
• Features may be added, modified, or removed without prior notice
• The Service may be unavailable during maintenance periods
• Performance and response times may vary

2.2 No Service Guarantee

We make no guarantees regarding:

• Continuous or uninterrupted access to the Service
• Error-free operation of the platform
• Availability of your campaigns or assets at all times
• Preservation of data during the preview period

3. Content & Data

You retain all rights to the content you provide to PromoPilot, including:

• Brand materials and logos
• Campaign descriptions and goals
• Any text, images, or other materials you upload

3.3 Generated Content

Content generated by PromoPilot (including campaigns, strategies, and creative assets) is provided to you for your use. However, you acknowledge that:

• Generated content may not be unique to you
• Similar outputs may be generated for other users with similar inputs
• You are responsible for reviewing and approving all content before use

4. AI-Generated Content Disclaimer

• Accuracy: AI-generated content may contain errors, inaccuracies, or outdated information
• Quality: The quality of generated content may vary and may not meet your specific needs
• Originality: While we strive to generate original content, we cannot guarantee that content is entirely unique
• Appropriateness: Generated content may not be suitable for all audiences, industries, or purposes
• Legal Compliance: You are responsible for ensuring generated content complies with applicable laws and regulations
• Brand Consistency: AI analysis of your brand may not fully capture your brand identity
• Marketing Effectiveness: We make no guarantees about the marketing performance or effectiveness of generated campaigns

4.1 Your Responsibility

You are solely responsible for:

• Reviewing all AI-generated content before use
• Verifying accuracy and appropriateness of generated materials
• Ensuring compliance with your brand guidelines
• Obtaining necessary rights or permissions for any third-party content
• Compliance with advertising standards and platform requirements

5. Credit System & Payment

5.1 Credit Definition & Pricing

The Service operates on a credit-based system where AI features consume credits to generate content. Credits are a virtual currency used exclusively for accessing PromoPilot services and hold no cash value.

• Base Credits: 1 credit = €1 value in AI services (not currency)
• Bonus Credits: Promotional credits added FREE on Growth and Pro packages
• Transparent Pricing: You pay only for base credits; bonus credits are complimentary
• Credits are non-transferable and cannot be exchanged for cash or other currencies

5.2 Credit Packages & Purchases

Credits are available in three packages:

• Starter Pack: €200 = 40 base credits (no bonus)
• Growth Pack: €500 = 100 base credits + 12 FREE bonus credits (12% extra)
• Pro Pack: €1000 = 200 base credits + 42 FREE bonus credits (21% extra)

All payments are processed securely through Stripe, our third-party payment processor. We accept major credit cards, debit cards, Apple Pay, Google Pay, and corporate payment methods.

5.3 Credit Validity & Expiration

• All purchased credits are valid for 365 days from the purchase date
• Email notifications will be sent 30 days before credit expiration
• Expired credits cannot be refunded, reinstated, or extended
• Additional credit purchases extend the validity period for new credits only

5.4 Refund Policy

30-Day Money-Back Guarantee:

• Unused Base Credits: Eligible for full refund within 30 days of purchase
• Partially Used Credits: Pro-rated refund at original purchase price (€5 per base credit)
• Bonus Credits: Non-refundable as they are promotional value
• Processing Time: Refunds processed within 7-14 business days to original payment method

To request a refund, contact support@promopilot.com with your purchase details. Refunds are subject to verification of usage and applicable law.

5.5 Pricing Changes

PromoPilot reserves the right to adjust credit prices, package structures, or bonus percentages with at least 30 days advance notice. Existing purchased credits are not affected by pricing changes.

6. User Accounts

6.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

6.2 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these terms
• Fraudulent or illegal activity
• Abuse of the Service
• Any reason during the preview period

7. Acceptable Use

You agree NOT to use PromoPilot to:

• Generate content that is illegal, harmful, threatening, or discriminatory
• Create misleading, false, or deceptive marketing materials
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer or copy the Service
• Overload or interfere with the Service's operation
• Use the Service for any automated or bulk processing without authorization

8. Intellectual Property

8.1 Our Rights

PromoPilot and all related technology, software, and materials are owned by us and protected by intellectual property laws.

8.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these terms.

9. Limitation of Liability

• NO WARRANTY: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied
• NO LIABILITY: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service
• CONTENT RESPONSIBILITY: We are not responsible for the accuracy, quality, or effectiveness of AI-generated content
• DATA LOSS: We are not liable for any loss of data, campaigns, or assets during the preview period or at any time
• BUSINESS IMPACT: We are not responsible for any business losses, lost revenue, or marketing campaign failures
• THIRD-PARTY PLATFORMS: We are not responsible for content rejection or issues on third-party platforms (social media, ad networks, etc.)

Our maximum liability to you for any claim arising from the Service shall not exceed the amount you paid for credits in the past 3 months.

10. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy. We collect and process your data as described in our Privacy Policy, including:

• Account information and authentication data
• Campaign data and user-generated content
• Usage analytics and platform interaction data
• Payment information (processed through Stripe)

We implement appropriate security measures to protect your data, but cannot guarantee absolute security.

11. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify users of significant changes via:

• Email notification to registered users
• In-app notification upon login
• Updated "Last Updated" date on this page

Your continued use of the Service after changes constitutes acceptance of the modified terms.

12. Preview Period Termination

We reserve the right to:

• End the preview period at any time
• Transition to a different pricing or service model
• Discontinue the Service entirely

In the event of Service discontinuation, we will provide reasonable notice and opportunity to download your content.

13. Third-Party Services

PromoPilot integrates with third-party services (including OpenAI, Azure, Stripe). Your use of these services through our platform is subject to their respective terms and conditions.

14. Indemnification

You agree to indemnify and hold harmless PromoPilot, its affiliates, and its team members from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these terms
• Content you generate or distribute using the Service
• Infringement of any third-party rights

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which PromoPilot operates, without regard to its conflict of law provisions.

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and PromoPilot regarding the use of the Service.
